- According to my modest knowledges - and to the dictionaries - it might be :
“Replace … with… ”

• "By" is the French turn (par), it's faulty in English…

From what I can see "Replace ... with" is used in XnView 1.90. (E.g. "Rename" dialog, "Replace with" dialog)
